Kerrin O’Connell, Esquire
Kerrin O’Connell is a Strategic Partner to the Stanwood Group and also separately provides services to Stanwood Group clients under independent engagement. Ms. O’Connell advises emerging and established franchisors on franchise development, compliance, and relationship management. She specializes in initial FDD development and financial performance representations, while also assisting with franchise negotiations and registration issues. Prior to her position at Drumm Law, Ms. O’Connell served as Franchise Counsel at The Internicola Law Firm, where she assisted franchisors with all aspects of the franchise lifecycle. Ms. O’Connell also previously worked for the largest real estate franchisor in the United States, where she assisted with drafting new agreements, transfers, terminations and promissory notes. She attended Rutgers Law School and served as an assistant to trademark and internet law scholar Greg Lastowka. She obtained her undergraduate degree in English from Rutgers University, where she graduated magna cum laude.
She has assisted clients with obtaining registration exemptions to streamline the sales process and expedite deals.
She has developed franchise fee and territory structures for a variety of brick-and-mortar and service-based franchise concepts.
She has drafted Item 19 Financial Performance Representations for clients in the restaurant industry, home care industry, and for a variety of mobile service-based franchise concepts.
She has advised clients on a variety of issues arising from the Covid-19 pandemic and helped resolve franchise relationship issues arising from lockdown orders and restrictions.
She has negotiated various amendment and financing arrangements to help clients reach a mutually beneficial solution when entering into initial and renewal franchise agreements.
